Grunte & Cers provides advice on all issues of company law, including the establishment, reorganisation, and restructuring of companies, their representative offices and branches, as well as bankruptcy and liquidation of legal entities. Our lawyers are active in drafting and registering of decisions made by legal persons, organising shareholder meetings, and preparing rules of procedure and regulations for the board and administration. Our lawyers represent shareholder interests (both controlling and minority interests) and represent shareholders at shareholder meetings. They work on a broad range of corporate transactions, including acquisitions, mergers, divestitures and related transactions and the structuring and preparation of those transactions, as well as preparing transactions governing mutual relationships between shareholders, advising on investments into companies. This also includes performing due diligence, and preparing due diligence reports. Finally our lawyers handle disputes that relate to any and all of the above areas of work before the courts and in arbitration.
